TERMS OF SERVICE

1. Acceptance of Terms

By accessing and using the services provided by Walter Roberts Strategic Leadership Coaching ("we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement.

If you do not agree to abide by the above, please do not use this service.

2. Services Description

Walter Roberts provides strategic leadership coaching, business advisory, keynote speaking, workshops, and related professional development services including:

  • Private 1:1 executive coaching and strategic advisory
  • Group workshops and masterclasses
  • Keynote speaking engagements
  • Digital frameworks and resources
  • Strategic insights and educational content

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information during consultations
  • Attend scheduled sessions punctually and prepared
  • Implement agreed-upon strategies and frameworks
  • Maintain confidentiality of proprietary methodologies
  • Pay all fees according to agreed terms
  • Provide reasonable notice for cancellations or rescheduling

4. Payment Terms

Coaching Services

  • Payment is due in advance of services rendered
  • Monthly coaching fees are non-refundable after the first session
  • Late payments may result in suspension of services
  • All prices are subject to change with 30 days notice

Speaking Engagements

  • 50% deposit required upon contract signing
  • Balance due 30 days before event date
  • Travel and accommodation expenses are additional

Workshops

  • Full payment required upon registration
  • Cancellations more than 14 days prior: 50% refund
  • Cancellations less than 14 days: no refund

5. Cancellation and Rescheduling

Client Cancellations

  • 24-hour notice required for individual sessions
  • Less than 24 hours notice: session fee applies
  • Emergency cancellations will be considered case-by-case

Service Provider Cancellations

  • We will provide maximum notice possible
  • Alternative dates will be offered
  • Full refund available if rescheduling not possible

6. Confidentiality

We maintain strict confidentiality regarding all client information, business strategies, and personal matters discussed during our professional relationship. This includes:

  • Business financial information and metrics
  • Strategic plans and competitive information
  • Personal challenges and development areas
  • Team dynamics and organizational issues

Clients agree to maintain confidentiality of proprietary coaching methodologies, frameworks, and intellectual property shared during engagements.

7. Results and Expectations

While we are committed to providing high-quality strategic coaching and advisory services, we cannot guarantee specific business results or outcomes. Success depends on various factors including:

  • Client commitment and implementation
  • Market conditions and external factors
  • Team execution and organizational readiness
  • Economic and industry-specific variables

Our role is to provide strategic guidance, frameworks, and support. Ultimate responsibility for business decisions and outcomes remains with the client.

8. Intellectual Property

All coaching methodologies, frameworks, assessments, and proprietary content remain the intellectual property of Walter Roberts. Clients receive a limited license to use these materials for their personal and business development.

Clients may not:

  • Reproduce or distribute proprietary materials
  • Use methodologies to coach or train others commercially
  • Reverse engineer or copy frameworks and assessments
  • Share proprietary content with competitors or third parties

9. Limitation of Liability

Walter Roberts Strategic Leadership Coaching shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

10. Professional Boundaries

Our services are professional business coaching and advisory. We do not provide:

  • Licensed therapy or mental health counseling
  • Legal or accounting advice
  • Investment or financial planning services
  • Medical or health-related guidance

Clients are encouraged to seek appropriate professional services for matters outside our scope of practice.

11. Termination

Either party may terminate the coaching relationship with 30 days written notice. Reasons for immediate termination may include:

  • Non-payment of fees
  • Violation of confidentiality agreements
  • Inappropriate conduct or communication
  • Misuse of proprietary materials

Upon termination, all proprietary materials must be returned or destroyed.

12. Governing Law

These terms shall be governed by and construed in accordance with applicable international business law. Any disputes shall be resolved through professional mediation or arbitration.

13. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated to active clients with 30 days notice. Continued use of services constitutes acceptance of modified terms.
